Zachary Scott is pleased to announce the sale of its client, Motor Trucks International and Idealease, Inc. (“Motor Trucks” or the “Company”) to a subsidiary of RWC Group (“RWC”). It was an honor to work alongside Motor Trucks’ management team and the Company’s shareholders once again after representing them earlier on the sale of their Kenworth Northwest dealerships.

Situation

Motor Trucks serves the heavy and medium duty truck market in the Pacific Northwest through locations in Everett, Mount Vernon, and Bellingham, WA. The Company operates under a franchise agreement with International Truck (a division of Navistar, Inc.), which is owned by Traton, one of the world’s leading commercial vehicle manufacturers. Within its franchise region, the Company sells new and used trucks, provides parts and repair services, and rents and leases equipment to a wide range of individual customers and commercial fleets.

The shareholders of Motor Trucks also previously owned Kenworth Northwest, a highly successful nine-location Kenworth dealer in Washington and Alaska, which was successfully sold to Papé Group in 2017. Following that transaction, the shareholders continued to own and operate Motor Trucks and subsequently elected to pursue a sale of the Company to a strategic buyer who could support the business’s continued growth and success.

ZS Role

After successfully advising the shareholders on the sale of Kenworth Northwest, and enjoying a close relationship in the following years, Zachary Scott was re-engaged to advise the Motor Trucks team as it worked to evaluate ownership transition alternatives, ultimately managing the sale process for the Company.

Results

Motor Trucks’ business was acquired by a subsidiary of RWC Group. RWC is a commercial truck and bus dealership with over 700 employees across several locations in AZ, CA, OR, WA, and AK. The addition of Motor Trucks gives RWC seven locations in Washington state and contributes to RWC’s continued growth as one of the nation’s largest International Truck dealerships.
