Headquartered in Kirkland, WA and employing over 8,000 people, Warehouse Demo Services (“WDS”) conducts all of the food and product demonstrations in Costco warehouses located in the Western US. The business was owned by three of the Company’s executives. The acquirer, Daymon Worldwide (“DWW”), headquartered in Connecticut, among other services, conducts demonstrations in Costco warehouses located in the Eastern US and foreign markets. Recognizing that a business combination could provide meaningful synergies, DWW approached the owners of WDS about the possibility of selling.

ZS Role

Zachary Scott was engaged as the exclusive financial advisor to WDS’ shareholders to negotiate the sale of the business. We articulated the expected financial performance of the combined business and negotiated the economics of the transaction.

Results

DWW has acquired 100% of the common stock of WDS to consolidate food and product demonstrations for Costco nationwide.
