Situation
Upon completing the acquisition of certain territories of Alaska Distributors, a competing beverage distributor, a decision was made to partner with a distributor who could bring strong connections to wine and spirits global brands and thereby strengthen the ties to the Odom Corporation (“Odom”).
ZS Role
Zachary Scott was engaged as part of the transaction team to negotiate a joint venture arrangement with Southern Wine and Spirits (“SW&S”), the largest wine and spirits distributor in North America.
Result
A joint venture was created in which the wine and spirits businesses of both Odom and Alaska Distributors were contributed to a joint venture entity and a 50% interest was sold to SW&S. Zachary Scott assisted in the negotiation of the economic transaction as well as JV governance provisions and the owners’ agreement.
