Situation

Scholle IPN (“SIPN” or the “Company”) is the world-wide leader in bag-in-box (“BiB”) packaging, providing a broad portfolio of flexible packaging solutions to food service, consumer, and industrial end markets around the world.

Founded in 1947 and headquartered in Chicago, Illinois, the vertically integrated Company operates 14 manufacturing locations throughout the world, providing its diverse set of global customers with a broad portfolio of innovative and value-added products and equipment.

After seven decades of family ownership, the majority owners wished to monetize their investment in the business and diversify their assets.

ZS Role

The majority owners engaged Zachary Scott to explore strategic alternatives, advise them on the value of the enterprise and represent them in the purchase and sale transaction.

Results

Zachary Scott served as a trusted partner to the majority owners for many years, engaging in various advisory assignments including valuation, capital budgeting, acquisition advisory, and corporate governance, all of which contributed toward enhancing the value of the business.  Ultimately, Zachary Scott advised the majority owners in a buy-sell process in accordance with the existing partnership agreement, culminating in a successful sale of their interests to the minority shareholder.
