Situation

Premier Building Systems (“PBS”) operated as a division of Premier Industries, Inc. (“Premier”). PBS is a manufacturer of structural insulated panels (SIPS) used in floors, walls, and roofs in residential and commercial buildings.  SIPS consist of an expanded polystyrene core laminated between two sheets of engineered wood, thereby creating a highly insulated prefabricated wall, floor or ceiling.  SIPS are used in a wide range of dwellings.  PBS operates from two West Coast.

A sale was contemplated as part of a divestiture plan for all of Premier’s operating divisions.

ZS Role

Zachary Scott was engaged as exclusive financial advisor to plan and execute the divestiture of Premier Buildings Systems.

Results

Zachary Scott organized a competitive, confidential sale process that attracted bids from both industry participants and selected private equity funds. PBS was sold to Carlisle Companies, a $2.3 billion revenue, diversified manufacturing company.
