Situation
Mikron Industries is the leading North American manufacturer of extruded polyvinyl chloride profiles and engineered composite products used in the fabrication of windows, doors, window coverings and other building products. Spectus Systems, the U.S. subsidiary of the leading extruder of vinyl profiles in the UK, specialized in producing standard window systems, under the Spectus brand name. Spectus was identified as an attractive strategic fit for Mikron, as it provided an entrée to the remodeling and replacement vinyl window market in the Midwest and East.
ZS Role
Zachary Scott represented Mikron in the negotiation of the transaction terms, management of the due-diligence process and arrangement of the acquisition financing.
Results
Mikron acquired the assets of Spectus Systems, on terms that protected Mikron from risks that could undermine the future economic performance of the business, such as environmental liability, inventory salability, receivable collectability, and equipment and tooling condition.
