Situation

Flexible Holdings produced packaging for the largest private label diaper producer in North America from its plants in Tukwila, Washington, and Bowling Green, Kentucky.  As a result of its customer relationships, significant growth opportunities, including acquisition of other packaging and film companies outstripped its capital.  The owners desired a strategic relationship with a company that could help in its growth and eventually be a buyer of the business.

ZS Role

Zachary Scott was engaged to seek investment from a targeted group of strategic companies with consumer packaging knowledge and a strong balance sheet.

Result

Zachary Scott negotiated with Amcor Limited, an Australian packaging company, a 49% investment in Flexible Holdings, a commitment for additional capital to allow Flexible Holdings to pursue its organic and acquisition expansion, and a “put” of the founders’ remaining equity to Amcor.
